Service Agreement: Advanced Sales Landing Page

This agreement is between Otuya Web Design (hereafter referred to as “Agency”) and You our Client (hereafter referred to as “Client”) for the purpose of providing premium Sales Landing Page development and Meta advertising optimization services.

1. Scope of Work

The Agency agrees to provide the Advanced Sales Landing Page bundle to the Client. The deliverables include:

  • Design: A premium, brand-consistent, and mobile-responsive sales landing page.

  • Optimization: Functionality for Integration of Meta Conversions API (CAPI) for enhanced data tracking and advertising performance.

  • Conversion Features: Setup of a Automated Chat Forms to filter leads, integrated with a WhatsApp Order Form.

  • Sales Psychology: Inclusion of a countdown timer for urgency and/or a social proof carousel (UGC/testimonials).

  • Automation: Setup of one (1) automated Email Welcome Sequence for lead nurturing.

  • Technical Suite: * Free 12 months of high-speed hosting.

    • Free 12 months of .com.ng or .ng domain registration.

    • Full SSL security encryption.

    • Three (3) Business Email accounts.

    • Video tutorials on managing Meta Ads updates.

  • Available Access: The only backend access the Client will have is an editorial access to the Advanced Sales Landing Page CMS.

2. Revisions

2a. The Agency provides one (1) design and strategy revision session included in the package. This covers minor adjustments to the layout, copy, and logic flow.
2b. Any additional revision sessions will incur a minimum fee of ₦35,000 per session.
2c. All revision requests must be compiled into a single document and submitted within five (5) business days of receiving the initial project draft.

3. Timeline and Client Responsibilities

3a. Estimated Timeline: The project typically takes 4–6 working days, subject to the promptness of Client feedback.
3b. Data Provision: The Client must provide all brand assets (logos, colors), product details, ad copy/images, and necessary access credentials (Meta Business Suite/Pixel) to commence work.
3c. Delay Penalty: If the project is delayed beyond seven (7) days because the Client has failed to provide necessary data or feedback, the project will incur an extra fee of ₦5,000 for every 7-day period added to the timeline.

4. Third-Party Platforms and Costs

4a. Ad Spend: The Client is solely responsible for all costs associated with running Meta Ads (Facebook/Instagram). The Agency’s fee covers the technical setup, not the advertising budget.
4b. Software Fees: While the landing page setup has zero monthly maintenance fees, the Client is responsible for any third-party subscription costs (e.g., advanced Email Marketing platforms) if they choose to scale beyond the included automation.

5. Payment and Renewals

5a. Payment Schedule: The Client agrees to pay the Agency the full project fee (₦110,000) or according to an agreed-upon part-payment schedule.
5b. Outstanding Fees: Failure to complete due payments after project delivery will result in the landing page being frozen or withdrawn until the balance is cleared.
5c. Annual Renewal: To maintain the hosting, domain, SSL, and business emails, a renewal fee of ₦59,500 is due every 12 months (for .com.ng domain names. Other domain names cost more).

6. Limitation of Guarantee

The Agency utilizes industry best practices, CAPI integration, and logic filtering to maximize ROAS. However, the Agency does not guarantee a specific number of sales or leads. Results depend on external factors such as the Client’s product quality, market demand, pricing, and Meta ad spend.

7. Confidentiality

The Agency agrees to keep all sensitive business data, customer lists, and Meta account information strictly confidential.

8. Governing Law

This agreement shall be governed by and construed in accordance with the Laws of the Federal Republic of Nigeria.

 

9. Entire Agreement

This document constitutes the entire agreement between the parties and supersedes all prior understandings.

Description

Revision & Change Request Policy

1. The “Source of Truth” (Initial Details)

The design, copywriting, and technical functionality of your landing page are crafted based strictly on the information you provide in our Mandatory Detail Collection Form. Your submission of this form constitutes your final instructions. Any request that deviates from these initial instructions after development has begun is classified as a Revision.

2. Included Revision Cycle

We provide one (1) consolidated revision session at no extra cost upon delivery of the initial project draft.

  • This session is intended for minor adjustments, refinements, or corrections.

  • All requests must be compiled into a single communication (document or list).

  • The request must be submitted within five (5) business days of receiving the initial draft.

3. Definition of a Billable Revision

A change request is defined as a billable Revision and will incur an additional fee if it falls into any of the following categories:

  • Change in Initial Details: Any request to edit the design, content, logic flow, or functionality that contradicts or adds to the details originally submitted in the collection form.

  • Preference Changes: If the Agency builds exactly what was requested, but the Client subsequently decides on a different creative direction (e.g., changing brand colors, moving sections, or changing the core offer).

  • Late Requests: Any revision request submitted after the five (5) business-day window has closed.

4. Agency Oversight vs. Client Revisions

  • Agency Oversight: If there is an error where the Agency failed to implement a detail provided in the submitted form (e.g., a typo in your provided copy or a missing feature), the Agency will rectify this error free of charge. This does not count as your one free revision session.

  • Client Revision: If the Agency implements the details correctly, but the Client wishes to change them, the standard revision fees apply.

5. Revision Fees & Payment

  • Any request qualifying as a billable Revision will incur a minimum fee of ₦35,000 per session.

  • Work on revisions will only commence after the revision fee has been paid in full.

  • A “session” is a single batch of compiled changes; subsequent requests after a session is closed will be treated as a new session.

6. Technical Feasibility & Structural Changes

Please note that certain revisions—specifically those affecting the entire foundational structure, core coding, or logic framework of the landing page—may not be technically feasible after the build is complete. If a requested change requires a total re-development of the page, the Agency reserves the right to decline the revision or provide a new quote for a full re-scoping of the project.
